OFFICIAL NOTICE ON COPYRIGHT, RELATED RIGHTS, AND RULES FOR THE USE OF M&M - MLIFEON MEDIA MATERIALS
M&M - MLifeOn officially issues this Notice on copyright, related rights, and the use of images, videos, and other media materials owned, managed, or lawfully exploited by M&M/MLifeOn. The Notice aims to protect creative works while clearly defining the permitted scope of use and the responsibilities of organizations and individuals when using the Materials.
M&M TRADING SERVICES IMPORT EXPORT COMPANY LIMITED (hereinafter referred to as “M&M”) is the owner and the entity responsible for managing and operating the MLifeOn platform. MLifeOn is a multi-channel content and media platform within the M&M ecosystem, focusing on the development, production, and dissemination of content relating to culture, travel, cuisine, and lifestyle. MLifeOn operates through the website www.mlifeon.com and the official digital media channels managed and operated by M&M.
In response to the increasingly prevalent unauthorized copying, reposting, editing, alteration, and exploitation of images and videos in the digital environment, M&M/MLifeOn hereby officially announces, through this Notice, the rules governing the management, use, and protection of copyright and related rights in materials owned, managed, or lawfully exploited by M&M and MLifeOn as follows:
Article 1. Scope of Protected Materials
For the purposes of this Notice, “Materials” protected by M&M/MLifeOn means content posted, updated, or displayed on the websites and official media channels of M&M/MLifeOn, including but not limited to:
● Images, photographs, photo collections, videos, films, documentaries, short-form clips, footage, and audio or audiovisual recordings;
● Original image and video files; raw files; raw footage; rushes; source files; project files; behind-the-scenes materials; and unpublished materials;
● Final edits, drafts, previews, still frames extracted from videos, thumbnails, and versions exported in any format;
● Edited or unedited content, including versions with or without logos, watermarks, identifying information, or rights-management information;
● Designs, graphics, animations, motion graphics, subtitles, effects, audio, and creative elements incorporated into images or videos;
● Copies, excerpts, composites, adaptations, color-graded versions, derivative works, or any versions created from all or any part of the Materials.
Article 2. Basis for the Establishment and Reservation of Rights
Rights in the Materials described and acknowledged in Article 1 of this Notice are established and protected under Vietnamese law on the following grounds: the Materials are created directly by M&M/MLifeOn, produced pursuant to an assigned task or commission, financed and produced by M&M/MLifeOn, acquired through an assignment of rights, licensed for exploitation, or lawfully managed under contracts and applicable law.
To the extent permitted by law and relevant agreements, M&M, in its capacity as the copyright owner, owner of related rights, or a party lawfully entitled to manage, license, and exploit the Materials, may exercise in full the applicable economic rights and moral rights in relation to the Materials in accordance with law.
Where M&M/MLifeOn lawfully uses third-party materials, their appearance on M&M/MLifeOn platforms does not mean that users are granted the right to reuse them. Permission must be obtained directly from the relevant right holder.
For the avoidance of doubt, M&M confirms that none of the following circumstances constitutes a basis for acquiring any right of use, signifies any waiver of rights by M&M, or implies that M&M has granted a license to any organization or individual:
● The Materials have been made publicly available on the websites, information channels, or official social media platforms of M&M/MLifeOn;
● The Materials can technically be viewed, downloaded, stored, or accessed;
● The Materials do not bear a watermark, logo, copyright notice, or rights-management information;
● The Materials are sent, supplied, or shared by employees, collaborators, partners, or third parties, but the sender does not hold valid written authorization from M&M;
● The organization or individual using the Materials provides attribution, includes a link, tags, or mentions M&M/MLifeOn;
● The organization or individual intends to use or has used the Materials for non-commercial purposes, without generating revenue or deriving any direct benefit;
● The Materials have previously been shared, reposted, or used by another organization or individual without having been detected or acted upon by M&M.
The technical ability to access, download, or retain the Materials reflects only the ability to access the content and does not create any right to reproduce, edit, distribute, repost, communicate the Materials to the public, exploit them commercially, or otherwise use them.
Article 3. Prohibited Acts Without M&M’s Prior Written Consent
Except where an exception is permitted by law, organizations and individuals (collectively, “Third Parties,” as specifically defined in this Article) must not carry out any of the following acts without M&M’s prior written consent or approval:
- Copying, downloading, capturing screenshots, recording screens, extracting frames, or making copies of all or any part of the Materials for reposting, republication, broadcasting, communication, or making all or a substantial part of the Materials available to the public on websites, applications, online newspapers, social networks, community groups, or any other platform or medium;
- Cutting, combining, editing, color grading, dubbing, adding music or text, inserting logos, changing aspect ratios, blurring, or creating derivative content from the Materials;
- Removing, obscuring, or altering any watermark, logo, author credit, source information, metadata, or other rights-management information;
- Using the Materials for commercial purposes, advertising, communications, public relations, marketing products or services, e-commerce, sales activities, fundraising, sponsorship, or any other profit-oriented activity;
- Using the Materials in publications, credentials or capability profiles, presentations, training materials, point-of-sale materials (POSM), out-of-home advertising (OOH), television programs, events, or physical products;
- Selling, leasing, lending, assigning, sublicensing, distributing, providing, or transferring the Materials—particularly source files and unpublished files—to any third party;
- Using the Materials as training data, input, reference material, or an exploitation source for artificial intelligence systems, generative models, data repositories, or automation tools;
- Using the Materials in a manner that may cause viewers to believe that any individual, organization, or product is sponsored or endorsed by, or has a partnership with, M&M/MLifeOn;
- Using images, audio, or video in a manner that distorts the content, prejudices the integrity of the work, or harms the honor or reputation of the author, M&M, MLifeOn, or any person appearing in the Materials;
- Assisting, facilitating, instructing, or providing tools for another person to carry out any of the foregoing acts.
- Engaging in any act intended to legitimize the unauthorized use of the Materials. “Legitimizing unauthorized use” means carrying out, in any form, any action intended to cause confusion, alter or fabricate information regarding the author, source, or origin of the Materials, or relying on fabricated grounds or misusing legal exceptions to justify the unauthorized exploitation or use of the Materials without M&M/MLifeOn’s consent.
This Article applies to members of the public, users/readers, and organizations or individuals who do not have lawful rights to exploit or use the Materials to carry out one or more of the foregoing acts (hereinafter referred to as “Third Parties”).
These rules and M&M’s protection of copyright and related rights in the Materials are not intended to affect, obstruct, or restrict the moral rights of the authors who created the Materials under applicable law and/or the rights of licensors or other lawful owners (if any), within the scope of relevant contracts and applicable law.
Article 4. Conditions for Sharing Original Posts
M&M permits users to share an original post in its unaltered form or an official M&M/MLifeOn link by using the platform’s built-in “Share” function, provided that all of the following conditions are met:
● The Materials must not be downloaded and then reposted;
● The content must not be cut, combined, or edited; no watermark, copyright notice, or logo may be removed; and the content, images, or audio of the Materials must not be distorted or altered;
● The Materials must not be used for advertising, sales, sponsorship, or any other commercial or profit-oriented activity without M&M’s written consent;
● No information or comments may be attached, and no context may be used or created, that could cause the public to misunderstand any partnership, sponsorship, or endorsement relationship with M&M;
● Links or Materials must not be shared together with information or comments that violate the law, are misleading, contrary to accepted morals and customs, inflammatory, distorted, or insulting to the honor, dignity, or reputation of M&M and/or any other individual or organization;
● All specific instructions stated in the relevant post (if any) must be fully observed and included.
If M&M/MLifeOn edits, corrects, temporarily hides, or removes the original post or Materials from the platform, the sharing individual or organization must stop sharing, disseminating, or displaying them and must promptly update the relevant information or remove the shared content upon receiving notice from M&M or becoming aware that the original post or Materials are no longer displayed or available on M&M/MLifeOn, unless otherwise agreed between M&M and the sharing individual or organization.
M&M’s permission to share links or original posts under this Article does not grant the sharing individual or organization, or any other third party, the right to reproduce, distribute, extract, create derivative works from, independently exploit, or otherwise use the Materials in any form.
Article 5. Exceptions Permitted by Law
Any exploitation or use of the Materials by a Third Party without permission is lawful only if it fully and simultaneously satisfies all conditions prescribed by Vietnamese law, including requirements concerning purpose, scope, form, limitations, eligible users, and fair use, among others, and clearly and accurately identifies the author and the source and origin of the Materials.
Rights of quotation, or purposes such as news reporting, education, research, or non-commercial use, must not be invoked to copy the Materials in their entirety, repost a substantial part of them, interfere with their normal exploitation, or unreasonably prejudice the lawful rights and interests of M&M, MLifeOn, and the author.
Article 6. Permission Request Procedure
Any individual or organization wishing to exploit or use M&M/MLifeOn Materials in circumstances requiring M&M’s prior written approval or approval by email must submit a permission request before such exploitation or use, as follows:

Subject: REQUEST FOR PERMISSION TO USE M&M/MLIFEON MATERIALS
The request must clearly specify:
● The Materials requested for use and the relevant link(s);
● Purpose of use;
● Channel and method of publication;
● Territorial scope of use;
● Term of use;
● Details of any proposed edits (if applicable);
● Details of any commercial, advertising, or sponsorship element (if applicable);
● Information about the requesting organization or individual.
Submission of a request for permission to use the Materials does not mean that the request has been approved. M&M’s silence or failure to respond within any period does not constitute consent, approval, or a waiver of any legal obligation applicable to the requesting party.
Permission to use the Materials has legal effect only when given in writing or by email by M&M through an authorized person or department. Use must comply strictly with the scope, purpose, term, platform, territory, and conditions approved by M&M. Once granted, the right to use the Materials may not be transferred or sublicensed to any other third party in any form without authorization.
Any use of the Materials beyond the approved scope, purpose, or term, or in breach of any condition stated in the written or emailed approval, will be deemed a serious copyright infringement. M&M may immediately and unilaterally revoke or cancel the granted permission without prior notice and may claim compensation for damages in accordance with law (if any).
Article 7. Protective Measures and Enforcement
Upon detecting any unauthorized exploitation or use of the Materials or any infringement of M&M/MLifeOn’s intellectual property rights, M&M and/or its lawful representative may, depending on the nature and severity of the conduct, exercise any measure permitted by law to protect its rights, including but not limited to immediately taking one or more of the following actions:
● Collecting, preserving, and establishing electronic evidence of the infringement;
● Demanding the cessation of the infringement and the removal, deletion, or disabling of access to infringing content;
● Demanding the deletion of copies, stored files, source files, or derivative content created without authorization;
● Demanding a list of URLs, periods of use, audience reach, revenue, and benefits derived from the infringement;
● Demanding a public apology and correction, and compensation for damages;
● Submitting copyright-infringement reports directly to relevant competent individuals or organizations, and requesting intermediary platforms to remove content, suspend monetization or advertising, or take action against relevant accounts;
● Requesting competent state authorities to impose administrative penalties in accordance with applicable law;
● Initiating proceedings before a competent People’s Court to seek cessation of the infringement, performance of civil obligations, compensation for damages, and payment of reasonable expenses incurred in preventing and addressing the infringement, including legal fees as prescribed by law;
● Reporting the matter to the competent authorities for consideration of criminal liability where the conduct contains all constituent elements of a criminal offence;
● Taking any other lawful measures to protect the rights and interests of M&M, MLifeOn, the author, and other relevant parties.
Voluntary removal of content after an infringement has occurred does not automatically exclude liability for damages, administrative liability, or any other legal liability.
Upon receiving an infringement notice from M&M, the relevant organization or individual must promptly cease the unauthorized exploitation or use, remove the content, and provide a written response within the period specified by M&M.
Any silence, failure to take action, or delay by M&M in applying legal measures against an infringement at any particular time shall not be construed as a waiver of rights or consent to that infringement.
Article 8. Effectiveness and Reservation of Rights
This Notice takes effect upon publication and applies to all Materials that remain within their applicable term of protection, regardless of whether they were created or published before or after the date of this Notice.
This Notice does not create any new ownership rights; rather, it constitutes a public statement regarding the exercise and protection of M&M/MLifeOn’s existing rights. M&M reserves all rights and remedies available under Vietnamese law, international law, and relevant agreements.
M&M may amend or update this Notice to reflect applicable legal requirements and copyright-management practices from time to time. Any updates will be published through the official information channels of M&M and MLifeOn.
